President Obama has stated on numerous occasions that small businesses are “the engines of job creation and essential to strengthening our national economy.” The Benjamin Law Group is a small business, and our attorneys have owned other small businesses outside of the practice of law. We are entrepreneurs, and we truly cherish the opportunity to be a part of the creation, support, growth, and success of new and small businesses.
In addition to starting and building small businesses, we have significant experience advising founders and business owners on: selecting and forming the appropriate business entity; corporate governance; securities; partnership and agreements with investors; labor and employment policies and practices; contract negotiations and enforcement; and numerous other issues that our clients feel should be addressed by an attorney.
We also have the pleasure of serving as General Counsel to new and small businesses. In this role, we have the privilege of helping our clients grow while protecting them along the way. We become experts on their business and improve our ability to predict our clients’ business and legal needs. Selecting and Forming the Appropriate Business Entity
We advise our clients on choosing between traditional corporations, LLCs, S Corporations, and partnerships. And then we help them form those entities at the earliest possible moment.

New business owners often need advise regarding fiduciary duties for Board members, officers, and directors; pursuing business opportunities consistent with the bylaws, operating agreement, and other corporate documents; and operating consistent with the voting rules, share ownership, meetings, and other formalities required to maintain protection as a legitimate business entity.

Our clients need advice regarding stock options and stock grants, various funding phases, and valuing stock at different phases of the company’s existence.

The creation and growth of a company often times involves agreements between founders, investors, and other financial and business partners. We’ve litigated these issues, and gone to trial on them, so we know how to draft and negotiate these agreements to ensure our clients’ interests are protected.
